These Terms & Conditions ("Terms") are a legal agreement between you and CTW Distribution ("CTW", "we", "us", or "our") governing your dealer account, your orders, and your use of our website and services. By applying to become a dealer, placing an order, or using the payment and activation portals, you agree to these Terms. CTW sells to businesses (dealers) on a wholesale basis, not to consumers.

Two different systems — don't confuse them

Paying CTW means paying us for equipment and SIM orders through our shop (credit card or COD). The payment & activation portals are a separate service operated by a third-party transaction processor — not CTW — that dealers use to take carrier payments and run activations. Different systems, different terms. Both are covered below.

Acceptance

If you do not agree to these Terms, do not use our website, services, or portals. If you accept on behalf of a business, you represent that you are authorized to bind that business.

Eligibility & dealer accounts

Wholesale pricing and ordering are available only to approved dealer accounts. You must be a legally registered business and provide accurate information. Applications are approved at our discretion. You are responsible for keeping your credentials confidential and for all activity under your account. We may suspend or terminate accounts that violate these Terms, carrier rules, or that carry unpaid balances.

Paying CTW for orders (equipment & SIM stock)

This section covers paying CTW for products you buy from us through the shop. It does not cover the third-party payment portals, which are addressed separately below.

  • We accept credit card, ACH (bank transfer), or COD (cash on delivery). No other forms of payment are accepted.
  • A 3% processing fee applies to all credit card payments.
  • At checkout you pay for the products. Shipping & handling is not quoted at checkout — it is calculated at fulfillment (by weight, carrier, and shipping type) and billed then: your card or ACH on file is charged at fulfillment, or the balance is due at delivery for COD. Handling and packing are combined into one Shipping & Handling charge.
  • Wholesale prices are visible only to approved dealers and may change without notice. We may correct pricing errors and accept or decline any order.

Payment method on file

As part of dealer onboarding, you must complete a credit card / ACH authorization form. Your payment details are stored securely and tokenized by our payment processor (Stripe) — CTW does not store your full card or bank account numbers on our website. By putting a method on file, you authorize CTW to charge it for shipping & handling at fulfillment and for any balances you owe. You are responsible for keeping a valid payment method on file.

Returns, exchanges & warranty

All sales are final. We do not accept returns and do not issue refunds on SIM cards, airtime, activations, phones, or accessories, under any circumstances. Exchanges are available for defective items only, and hardware is covered by a limited CTW warranty (7 days on new devices, 60 days on refurbished/A-Stock/B-Stock). Payment & activation portals (third-party — not CTW)

The payment and activation portal is a separate dashboard operated by a third-party transaction processor (for example, ePay or VitaPay) — it is not operated by CTW. Dealers use it to take carrier payments and run activations. The following terms apply:

  • Setup & credit check. Portal setup requires a credit check. Based on the results, a dealer receives either a credit limit or — most commonly — a wallet account that requires an upfront deposit before processing.
  • All portal sales are final. There are no refunds on portal transactions. Transaction disputes are handled by the carrier, not CTW. Credit may be issued at CTW's sole discretion.
  • Dealer liability. Dealers are liable for all balances owed. Where CTW extends credit and a dealer defaults, CTW remains liable to the processor and will pursue the dealer for all amounts owed, plus attorney fees, costs, and collection through the courts.
  • Wallet first. Most dealers begin on a wallet account (deposit required before processing). Credit terms may be extended later based on activation volume and account standing.

Right of offset / withholding

If a dealer owes CTW Distribution any amount for any reason, CTW reserves the right to withhold any activations, commissions, splits, bonuses, or other funds or benefits otherwise due to that dealer, and to apply them against the outstanding balance, until all amounts owed are paid in full.

Carriers & third-party services

Activations, plans, and payment/activation portals are provided by third parties and are subject to their own terms, pricing, and availability. CTW is not responsible for third-party services, and carrier programs may change or be discontinued. Carrier names and logos are the property of their respective owners.

Acceptable use & intellectual property

You agree not to misuse our website, services, or portals — including fraud, violating carrier rules, reselling outside authorized channels, infringing others' rights, or attempting to disrupt or gain unauthorized access to our systems. The website and its content are owned by CTW or our licensors and may not be used except as needed to operate as a dealer.

Disclaimers & limitation of liability

Except for the limited hardware warranty described above, our website, services, and products are provided "as is" without warranties of any kind, to the fullest extent permitted by law. To the maximum extent permitted by law, CTW is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the amount you paid CTW for the products giving rise to the claim. You agree to indemnify and hold CTW harmless from claims arising out of your use of the services, your resale activities, or your violation of these Terms.

Governing law & changes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. We may update these Terms from time to time; changes take effect when posted, and the "Last updated" date above will change. Continued use after changes means you accept them.
